These Terms of Service (“Terms”) govern your access to and use of the Hermosa AI platform and related services (collectively, the “Service”) provided by Hermosa Labs, LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
By creating an account, accessing, or using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Hermosa AI is an AI-powered creative workflow platform that enables users to create visual workflows connecting multiple AI models for text, image, audio, and video generation. The Service integrates with third-party AI providers to deliver these capabilities.
The Service may include access to large language models, image generation models, video generation models, audio synthesis tools, and other AI-powered features. Feature availability may vary based on your subscription plan.

The Service operates on a credit-based system. Credits are consumed when using AI features, with costs varying by operation and model. Credit costs are displayed before execution.
Purchases. All credit purchases are final and non-refundable except as required by applicable law. We reserve the right to modify pricing with reasonable advance notice.
Failed Operations. If an AI operation fails due to system errors, we will make reasonable efforts to refund credits. Credits are not refunded for completed operations that do not meet your subjective expectations.
Promotional Credits. Free or promotional credits may expire and are subject to usage limitations at our discretion.
Your Inputs. You retain ownership of all content you input into the Service, including prompts, uploaded images, audio files, and other materials (“Inputs”). You grant us a limited license to use Inputs solely to provide the Service.
Generated Outputs. Subject to these Terms and applicable third-party provider terms, you may use AI-generated content (“Outputs”) for personal and commercial purposes. You acknowledge that:
Platform IP. The Service, including its design, code, and documentation, is owned by Hermosa Labs, LLC and protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service.
Our Practices. We do not use your personal Inputs or Outputs to train proprietary AI models without your explicit consent. Anonymized, aggregated usage data may be used to improve the Service.
Third-Party Providers. Your Inputs and Outputs are processed by third-party AI providers (including OpenAI, Google, Anthropic, FAL.AI, and ElevenLabs). Each provider has their own data practices and training policies. Some providers may use API inputs to improve their models unless you opt out through their respective platforms.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated content may contain errors, inaccuracies, biases, or inappropriate material. We do not guarantee the accuracy, completeness, quality, or suitability of any Output. You are solely responsible for reviewing and verifying all Outputs before use.
We do not warrant that the Service will be uninterrupted, error-free, or secure, or that defects will be corrected.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HERMOSA LABS, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF THE THEORY OF LIABILITY.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the greater of (a) the amounts you paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
You agree to indemnify, defend, and hold harmless Hermosa Labs, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you create, upload, or generate using the Service.
Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Dispute Resolution. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If unresolved, either party may pursue binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association.
Class Action Waiver. You agree that disputes will be resolved on an individual basis and waive your right to participate in any class action lawsuit or class-wide arbitration.
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately.
You may request export of your data within thirty (30) days of termination. After this period, we may delete your data without further notice. Provisions that by their nature should survive termination shall survive, including ownership, disclaimers, indemnification, and limitations of liability.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hermosa Labs, LLC regarding the Service.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions shall remain in effect.
Waiver. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
